These Terms of Service ("Terms") govern your access to and use of the Helm platform and related services (the "Service") provided by Mainsail Marketing LLC ("Mainsail," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Service Description

Helm is a business management platform designed for contractors and trades professionals. The Service includes tools for customer relationship management (CRM), estimating, project management, accounting, marketing, messaging, and e-commerce. Features available to you depend on your subscription plan.

3. User Accounts

When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Subscriptions and Payment

Certain features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees. Subscriptions automatically renew unless canceled before the renewal date. We may change pricing with notice, and your continued use after the change constitutes acceptance of the new pricing.

5. SMS/Text Messaging Program

The Service includes an SMS/text messaging feature ("Helm SMS Notifications") that allows you to send and receive text messages related to your business operations. By using this feature, you acknowledge and agree to the following:

  • Program Name: Helm SMS Notifications
  • Program Description: Project-related notifications including estimate updates, project status alerts, appointment reminders, invoice notifications, and direct messages between team members and customers.
  • Message Frequency: Message frequency varies based on project activity and communication needs.
  • Message and Data Rates: Message and data rates may apply. Contact your wireless carrier for details about your messaging plan.
  • Opt-Out: You can stop receiving text messages at any time by replying STOP to any message. After opting out, you will receive a confirmation message and will no longer receive SMS from this program.
  • Help: For assistance, reply HELP to any message or contact us at hello@mymainsail.com.
  • Supported Carriers: The Service is compatible with major U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages.

You are responsible for obtaining proper consent from your customers before sending them text messages through the Service. You agree to comply with all applicable laws and regulations regarding text messaging, including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Send unsolicited or unauthorized messages, including spam
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers connected to the Service
  • Upload or transmit viruses, malware, or other harmful code

7. Your Data

You retain ownership of the data you enter into the Service. We will not access, use, or share your data except as described in our Privacy Policy or as necessary to provide the Service. You are responsible for maintaining backups of your data.

8. Limitation of Liability

To the fullest extent permitted by law, Mainsail Marketing LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service. Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Termination

We may suspend or terminate your access to the Service at any time for violations of these Terms or for any other reason, with or without notice. Upon termination, your right to use the Service will cease immediately. You may cancel your account at any time through your account settings.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
